1.    INTRODUCTION        Pursuant to Paragraph 10.08 (1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“MMLR”), the Board of Directors of UEM Edgenta wishes to announce that Edgenta Mediserve,  a                      subsidiary of UEM Edgenta, had on 24 April 2015, awarded a contract for the supply, install and commission of a Microwave Disinfection System (“Equipment”) at Kamunting Incineration Plant, to Kualiti Alam                        (“Transaction”).      2.    INFORMATION ON THE RELATED PARTY        Kualiti Alam, is a wholly-owned subsidiary of Cenviro Sdn Bhd (formerly known as UEM Environment Sdn Bhd) (“Cenviro”), which in turn is a wholly-owned subsidiary of Khazanah Nasional Berhad (“Khazanah”).        Khazanah is the holding company of UEM Group Berhad (“UEMG”) by virtue of its 100% interest in UEMG.         Edgenta Mediserve, is a subsidiary of UEM Edgenta, which in turn is a 70.68% subsidiary of UEMG.       3.    DETAILS OF THE TRANSACTION        Pursuant to the Transaction, Kualiti Alam has been appointed as the supplier for the Equipment. The total contract sum for the Equipment amounts to RM4,880,000.00.      4.    RATIONALE FOR THE AWARD OF CONTRACT        The award was granted to Kualiti Alam in view of its experience, capability and resources to undertake the contract.      5.    FINANCIAL EFFECTS OF THE RELATED PARTY TRANSACTION        The Transaction will not have any effect on the issued and paid-up share capital, earnings per share, net assets per share, gearing and substantial shareholders’ shareholdings of UEM Edgenta.      6.    DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST        Save as disclosed below, none of the Directors and major shareholders of UEM Edgenta and/or persons connected to them have any interest, direct or indirect, in the Transaction.         Khazanah is the major shareholder of UEM Edgenta via its wholly-owned subsidiary, UEMG.        As such, Khazanah and UEMG, being the major shareholders of UEM Edgenta, are deemed to be interested in the Transaction.         YBhg Dato’ Seri Ismail Shahudin is a Director of UEMG, UEM Edgenta, Cenviro and Kualiti Alam whilst Ms. Elakumari Kantilal is a nominee of Khazanah on the Board of UEM Edgenta and as such they are deemed              interested in the Transactions (collectively, the “Interested Directors”). The Interested Directors have abstained from deliberating and voting at the Board meeting of UEM Edgenta pertaining to the Transaction.        None of the Interested Directors hold, directly and/or indirectly, any shares in UEM Edgenta.      7.    STATEMENT BY BOARD OF DIRECTORS AND AUDIT & RISK COMMITTEE (“ARC”)        The ARC and Board of UEM Edgenta (save for Interested Directors) having considered all aspects of the Transaction, are in the opinion that the Transaction is:        i)    fair, reasonable and on normal commercial terms;        ii)    in the best interest of the Company; and        iii)    not detrimental to the interest of the minority shareholders.      8.    APPROVALS REQUIRED AND PERCENTAGE RATIO APPLICABLE       The Transaction is not subject to the approval of the Company’s shareholders. The highest percentage ratio applicable, pursuant to paragraph 10.02 (g) of MMLR is 0.35%.      9.    DOCUMENTS FOR INSPECTION        A copy of the Letter of Award dated 24 April 2015 is available for inspection at the Registered Office of the Company at Level 6, Menara UEM, Tower 1, Avenue 7, The Horizon, Bangsar South City, No. 8, Jalan Kerinchi, 59200 Kuala Lumpur, during normal business hours from Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this announcement.      This announcement is dated 24 April 2015.
