Reference is made to the announcements made on 4 March 2015 and 30 April 2015 pertaining to the Sale and Purchase Agreement (“the SPA”) entered into between FITTERS Building Services Sdn Bhd (“FITTERS Building”) and GCP Tower Sdn Bhd (the “Vendor”) for the purpose of acquiring all that seventy (70) parcels of office lots, each held under an individual document of strata title, and 363 units of car park bays located on levels B1 and B2 of Plaza Pekeliling held under Geran 6851/M1/B1 and B2/1(B1-B2), Petak No. 1(B1-B2), Tingkat No. B1 and B2, Bangunan No. M1 (“the Property”) for a total consideration of RM28,280,000.00 (“the Proposed Acquisition”). The Board of Directors of FITTERS is pleased to announce that our solicitors, Messrs Azwar & Associates, have on 21 May 2015 received a letter dated 20 May 2015 from the Economic Planning Unit of the Prime Minister’s Department (“EPU”) confirming that EPU’s approval is not required for the Proposed Acquisition. Accordingly with effect from the date of the letter from the EPU, all Conditions Precedent to the Proposed Acquisition have been deemed fulfilled and satisfied and that the SPA is and has become unconditional. This announcement is dated 21 May 2015. |
