Dear Kevin,

     I am not certain if this is responsive to your question, but NAFEX has
a set of bylaws which spell out its objectives, structure, and the make up
of a Board of Directors.  The Board meets formally at each Annual Meeting
with a list of questions and suggestions to review, many of which originate
on this discussion list.  During the course of the year, the board
communicates by use of an e-mail list.  The Board generally seeks a
concensus on issues.  Major decisions or recommendations of the Board would
be presented at the Annual Meeting for approval by the membership in
attendance.  We could mail you a set of the bylaws, if you give me a mailing
address.  Does this address your question?
