What a difference two years makes! I can’t quite believe it’s been two years since I joined Greenwoods. The time has flown. I am confident that R&C is firmly embedded into our approach as a firm and my team are really great. So much so that, I’ve had time to do a little client work - the first time in over a decade! I’ve been able to help a Trust or Company Service Provider (TCSP) with its AML compliance as well as a firm of patent attorneys. I’ve even provided some brief advice to one of our high value dealers (selling products with a value in excess of €10,000). More recently I have been involved with some workplace investigations. This has been fascinating and I’ve really enjoyed the challenge and asked a lot (A LOT!) of questions. Whilst I love all things R&C, it has been interesting to step back into providing external clients with advice. I’m a firm believer that R&C professionals are better when they’ve been in private practice, and it is useful to apply my experience to different sectors and professionals. Who is the beneficial owner of an entity? A beneficial owner is the natural person(s) who ultimately owns or controls a customer or the natural person(s) on whose behalf a transaction is being conducted. It also includes those persons who exercise ultimate effective control over a legal person or arrangement (See FATF glossary). 👉 Three important elements here: 1. The beneficial owner is always one or more natural persons (individuals). As a rule, one or more individuals are always benefiting from a legal person or from a group of legal persons. 2. The beneficial owner is the individual that ultimately owns or controls the legal entity. The beneficial owner is not always the registered shareholder or the individual that the entity claims as the beneficial owner. It is the person(s) who truly benefit(s) or control(s) a legal person. 3. The beneficial owner is also the person who benefits from a transaction. Not necessarily the shareholder, not the director, but a person who benefits from a transaction can also be the beneficial owner. 👉 The challenge In some cases, the real beneficial owners deliberately use various methods to enhance their anonymity - especially if involved in financial crime. A popular method is the use complex ownership structures which include a web of: - trusts - Shell companies - strawmen - other legal arrangements In many cases, these structure so complex, that make compliance officers believe that there is/are no beneficial owner(s). 👉 When do I stop my CDD in complex structures? Failure to identify the beneficial owner = failure to fulfil our CDD obligation. This means that, we cannot stop until we identify the beneficial owner and understand that the purpose of the complex structure is legitimate.
