BNP Paribas SA is in exclusive talks with Axa SA to buy the insurer’s asset management unit for €5.1 billion ($5.5 billion), a move that will create one of Europe’s largest money managers.

BNP Paribas SA BNPQY and Axa are in talks to merge their asset management businesses to create a joint venture (JV) worth €1.4 trillion ($1.5 trillion) in assets under management (AUM).

The proposed transaction would bulk up BNP Paribas’s investment-management operations and mark AXA’s exit from asset management.
